Terms and conditions of the affiliate program

§1 GENERAL PROVISIONS

1. These Terms and Conditions set out the principles of cooperation between the Organiser – the Irix Online Store, owned by Delta Hubert Adamczyk, 30-830 Kraków, ul. Nad Potokiem 25/28, NIP 678-170-38-79 – and the Affiliate, as defined herein, with regard to promotional and marketing activities relating to the Organiser’s products available in the Irix Online Store.
2. The objective of the Affiliate Program is to promote products offered by the Organiser and to attract new Customers through the Affiliate’s marketing efforts.

§2 DEFINITIONS

1. Affiliate Program – a program run by the Organiser, under which the Affiliate promotes the Organiser’s products in exchange for a Commission.
2. Organiser – Delta Hubert Adamczyk, 30-830 Kraków, ul. Nad Potokiem 25/28, NIP 678-170-38-79.
3. Affiliate – a sole trader, legal entity or organisational unit with legal capacity, operating a website or social media profile (e.g., YouTube, Instagram, TikTok, Facebook or other).
4. Account – an individual account that records the Affiliate’s activity and accrued Commission, created via the Organiser’s website: https://store.irixlens.com/.
5. Affiliate Link – a unique link assigned to the Affiliate, used to track purchases made by Customers.
6. Discount Code – a unique code that reduces product prices for Customers.
7. Commission – the Affiliate’s remuneration, amounting to 5% gross of the gross value of the completed sales.
8. Irix Online Store – the Organiser’s store, available at: https://store.irixlens.com/.
9. Customer – legal person, or an organisational unit without legal personality but with legal capacity under applicable law, who makes a purchase via the Affiliate Link.
10. Sales Offer – products available for purchase in the Irix Online Store.

§3 CONDITIONS OF PARTICIPATION IN THE AFFILIATE PROGRAM

1. The Affiliate Program is open to:
   • sole traders,
   • legal entities,
   • organisational units with legal capacity,
   operating a website or a social media profile.
2. Participation in the Program is voluntary and free of charge.
3. Required steps for participation:
   • creation of an Account in the Irix Online Store,
   • completion of the registration form under the "My Account" section,
   • acceptance of these Terms and Conditions.
4. Submitting the registration form constitutes joining the Affiliate Program and entering into an Affiliate Agreement between the Affiliate and the Organiser.
5. The Organiser reserves the right to verify the Affiliate’s data and to refuse registration without providing a reason. The outcome of the verification process will be communicated via email within 21 calendar days to the address provided in the Affiliate’s Account.
6. The Affiliate Agreement with the Organiser is concluded for an indefinite period. Either party may withdraw from the Program by providing one month’s notice.
7. The Organiser has the right to terminate the Affiliate Agreement with immediate effect in the event of a breach by the Affiliate of the Program rules as set out in these Terms and Conditions.
8. Upon termination of the Affiliate Agreement or withdrawal from the Program, the Affiliate Link and Discount Code shall become invalid, and the Affiliate shall lose access to their Account.

§4 AFFILIATE’S OBLIGATIONS

1. The Affiliate is obliged to promote the Organiser’s products and offerings by sharing the Affiliate Link and Discount Code on their website and/or social media channels.
2. The Affiliate declares they are the owner of the website and/or social media profile.
3. As part of the Program, the Affiliate agrees to:
   • refrain from actions that could damage the Organiser’s reputation,
   • refrain from any act of unfair competition as defined by the Polish Act of 16 April 1993,
   • avoid sending unsolicited commercial communications.
4. The Program must not be used for purposes contrary to applicable civil law or these Terms and Conditions.
5. The Affiliate bears full responsibility for:
   • the content posted on their website and/or social media profile,
   • the technical implementation of the Affiliate Link on their platforms.

§5 COMMISSION

1. The Affiliate is entitled to a Commission of 5% gross from sales made via the Affiliate Link.
2. Commission is paid provided that:
   • the Customer completes the purchase and pays the full product price,
   • the Customer does not withdraw from the contract,
   • the Organiser has no doubts regarding the legitimacy of the Commission.
3. The minimum payout threshold is PLN 500.00 or EUR 100.00.
4. Commission is paid via bank transfer upon VAT invoice or via a Discount Code. One payout per calendar month. VAT invoices or requests should be sent to: affiliateprogram@irixlens.com.
5. No additional remuneration is due to the Affiliate beyond the Commission.
6. Following resignation, the Affiliate retains the right to unpaid Commission under the same conditions.

§6 DATA PROTECTION

1. The Organiser collects and processes personal data necessary to deliver the services. Providing data is voluntary and processed according to law.
2. Data is processed during the agreement term and for the limitation period of legal claims.
3. The Affiliate may withdraw consent, which does not affect prior lawful processing.
4. Data is used for service delivery, communication, and marketing purposes.
5. The Affiliate may request access, correction, transfer, or deletion of their data by emailing affiliateprogram@irixlens.com.
6. The Organiser ensures proper data protection.
7. The Affiliate is responsible for the security of their credentials and personal data shared online.
8. Providing any information or documents is voluntary.

§7 CONFIDENTIAL INFORMATION

1. Confidential information includes all data about either Party, including business, finance, or technology, disclosed during cooperation.
2. Each Party agrees to:
   • use confidential data only for cooperation,
   • not copy or reproduce it without necessity.
3. The confidentiality obligation does not apply to public or widely known information.
4. Mandatory disclosure by law does not constitute a breach if the other Party is informed promptly.
5. Obligation of confidentiality continues after the end of cooperation.

§8 COMPLAINT PROCEDURE

1. Complaints should be submitted via email: affiliateprogram@irixlens.com.
2. Complaints will be reviewed within 21 calendar days.
3. The outcome will be communicated to the email address provided in the complaint.

§9 PROGRAM SUSPENSION

The Organiser reserves the right to terminate or suspend the Affiliate Program at any time.

§10 FINAL PROVISIONS

1. In matters not regulated herein, the provisions of the Polish Civil Code shall apply.
2. The Organiser may amend the Terms at any time, informing Affiliates via email. If not accepted, the Affiliate may terminate the Agreement within 14 days of notice.
3. These Terms and Conditions enter into force on 30 April 2025.
